1. Agreement

These Terms of Sale ("Terms") govern every order request, Monthly Box subscription and purchase from Alchemy RGV ("we", "us"). By submitting a request or completing payment you agree to these Terms, our Research Use Only Policy, Shipping Policy, Returns & Refunds, Promotions Terms and, for subscriptions, the Monthly Box Terms.

2. Research use only

For laboratory research use only. Not for human or veterinary use. Not a drug, food, supplement, or cosmetic. Not evaluated by the FDA. All products are sold solely for in-vitro laboratory research. They must not be administered to humans or animals, used as or in any drug, food, supplement or cosmetic, or relabeled or resold for any such purpose.

3. Buyer attestations

With every order you attest that: (a) you are at least 21 years old; (b) you are a qualified researcher, or are purchasing on behalf of one, with the training and facilities to handle research chemicals; (c) you will use the products only for lawful in-vitro research; (d) all information you provide is true and complete. Attestations are recorded with a timestamp and the policy version in effect.

4. Buyer responsibility

You assume all responsibility and risk for the receipt, handling, storage, use and disposal of products, and for complying with all applicable federal, state and local laws.

5. Order requests, acceptance and pricing

Submitting the order form is a request, not a contract. A contract forms only when we confirm your order and receive payment. Prices are in U.S. dollars and may change without notice; obvious pricing errors may be corrected or the order cancelled. Discounts are governed by the Promotions Terms.

6. Payment

We accept USDC (Base), USDC (Solana), Bitcoin, Ethereum, Cash App, Zelle, Cash; cash only for local pickup or delivery. We do not accept card payments. Payment details are sent per order. Crypto payments must be received in full before an order ships. In-stock items are reserved for 24 hours pending payment. Unpaid requests may be cancelled after the reservation window.

7. Right to refuse or cancel

We may refuse, cancel or limit any order, and may decline future business, at our sole discretion, including where we suspect intended human or veterinary use, resale for such use, false information, fraud, or any breach of these Terms. Questions about use in people or animals will result in the request being declined. If we cancel a paid order, we refund the amount paid for undelivered products.

8. Disclaimer of warranties

Products are provided "as is" for research only. Certificates of analysis describe the tested lot and are informational. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.

9. Limitation of liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, and our total liability for any claim is limited to the amount you paid for the product giving rise to the claim.

10. Indemnification

You agree to defend, indemnify and hold harmless Alchemy RGV, its owners and agents from any claims, losses, damages, fines and costs (including reasonable attorneys' fees) arising from your breach of these Terms or the RUO Policy, your misuse of any product, or your violation of any law.

11. Disputes, governing law and venue

Contact us first; we will try to resolve any issue informally within 10 business days. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to the arbitration clause below, exclusive venue lies in the state or federal courts located in Hidalgo County, Texas.

12. Changes and severability

We may update these Terms; the version in effect when you submit a request applies to that order. If any provision is unenforceable, the rest remains in effect.
